Terms of Service | Nick Palmer Construction

1. Agreement to Terms

By engaging the services of Nick Palmer Construction LLC, you agree to be bound by these Terms of Service. These terms apply to all clients, visitors, and others who access or use our services. If you disagree with any part of the terms, then you may not access the service.

2. Provision of Services

Nick Palmer Construction LLC agrees to provide digital marketing services as outlined in the client's specific Service Agreement or Statement of Work. Services will be performed with professional skill and care. Project timelines are estimates and may be subject to change due to unforeseen circumstances or delays in client feedback/approval.

3. Payment Terms

Payment for services is due as specified in the Service Agreement. Typically, services are billed on a monthly retainer basis, payable in advance. For one-time projects, a deposit may be required before work commences. Late payments may result in a suspension of services and/or incur late fees.

All advertising spend (e.g., for Google Ads, Facebook Ads) is the sole responsibility of the client and is paid directly to the respective advertising platform. Nick Palmer Construction LLC is not responsible for managing this ad spend budget beyond the scope of campaign optimization.

4. Client Obligations

The client agrees to provide Nick Palmer Construction LLC with timely access to all necessary materials, data, and personnel required to perform the services. This includes access to website backends, analytics accounts, and advertising platforms. The client is responsible for the legality and accuracy of all content, materials, and information provided to Nick Palmer Construction LLC.

5. Confidentiality

Both parties agree to keep all non-public information, including campaign strategies, performance data, and business operations, strictly confidential. This obligation of confidentiality shall survive the termination of any service agreement.

6. Termination

Either party may terminate the Service Agreement with written notice, typically 30 days, as specified in the agreement. Upon termination, the client is responsible for all fees incurred up to the termination date. Nick Palmer Construction LLC will cooperate in the transition of all campaign assets and data back to the client.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Nick Palmer Construction LLC is registered, without regard to its conflict of law provisions.
